INTRODUCTION TO CORPORATE FINANCE & DEBT CONTRACTING

This course is designed to familiarize you with the principles of corporate finance and introduce you to a set of basic analytic, negotiating and drafting skills that are invaluable in the context of financing transactions. The course begins with a survey of basic accounting concepts and an introduction to certain principles of finance, with a focus on the valuation of financial assets and enterprises. We draw upon these principles throughout the rest of the course as we study contemporary approaches to the interpretation of the scope of contractual provisions that are commonly found in debt instruments and the role of debt in the capital structure of a corporation. Business Associations is a prerequisite, but may be waived by the professor on a case by case basis.
