TRANSACTIONAL NEGOTIATION TEAM
(LAWO-7022) - 2 UNITS

The Transactional Negotiation Team is a 2-unit pass/fail course. Students are given a complex business problem and, after research and analysis, develop a strategy for representing their client in the matter. Students draft a term sheet or an agreement presenting their client's proposal for completing the transaction, then review and respond to drafts prepared by the students representing the other side of the prospective deal. The first several weeks involve reviewing and analyzing the deal. The remainder of the semester involves negotiation rounds between students on opposite sides of the transaction. Rounds are judged by practicing attorneys from the Los Angeles and Orange County communities.
