CORPORATE LEGAL AND ETHICAL ACCOUNTABILITY

This course examines the mechanisms for control of illegal and unethical behavior by corporations. Corporations are private entities with strong economic, social, environmental and cultural impacts upon the public. Fifty of the world's 100 largest economies are now corporations rather than nations. Large, respected corporations have recently collapsed in legal and ethical scandals. The course examines the mechanisms of shareholders' suits, shareholders' resolutions, socially responsible investment funds, government regulation, labor unions, civil and criminal liability for corporations and officers, international and domestic human rights suits, revocation of corporate charters, constituency statutes, democratization of boards of directors, voluntary codes of conduct, deceptive advertising suits and consumer boycotts.
