COMMERCIAL LAW DRAFTING AND NEGOTIATION SKILLS CLASS
(LAWB-4023) - 2 UNITS

This class is designed to introduce the student to the structuring and documentation of a typical asset based commercial loan transaction. The class will move from the initial credit write up by the lender?s business development officer, through due diligence of the borrower, the drafting of the initial proposal letter and the initial draft of the Loan and Security Agreement. In addition, the students will draft a guarantee for the owners of the borrower. The President of Celtic Capital will be invited to discuss the process from loan origination through credit committee approval.
After drafting the basic transaction documents, the class will be divided into two teams and experienced transactional attorneys will be invited to serve as coaches for the teams. The teams will then negotiate the Loan and Security Agreement.

In addition to the transaction component of the class, the class will also cover related topics associated with the structuring and documentation of a commercial loan. Among these issues will be suretyship and the role of different types of guaranties, subordination of related debt and lien interests; and the role of legal opinions.
